UK-Born Healthtech Startup Bioniq To Be Acquired By US-Based Health And Wellness Company Herbalife In US$150 Million Deal
The transaction between Herbalife, which is led by CEO Stephan Gratziani, and Bioniq, which is led by co-founder and President Vadim Fedotov, is expected to close in the second quarter of 2026.
Bioniq, a UK-born personalized supplements company, has been acquired by Herbalife, a US-headquartered global nutrition and wellness company, in a deal valued at US$150 million. The transaction, which shall see a purchase price of $55 million paid over five years, also includes up to $95 million of contingent payments based on future performance.
Founded in 2019, Bioniq develops tailored supplement formulas using blood biomarker data, individual health profiles, and a proprietary personalization engine. The London-born healthtech went on to make inroads into the UAE in 2021, with it since expanding across the Gulf bolstered by partnerships with entities like the Department of Culture and Tourism in Abu Dhabi and Al Borg Diagnostics in Riyadh.
The acquisition is thus set to enable Bioniq’s science-driven, personalized supplementation platform to scale globally through Herbalife’s extensive infrastructure that spans 95 markets and boasts of over two million distributors as well as millions of customers around the world. Bioniq’s personalized nutritional supplements are expected to be offered later this year through Herbalife independent distributors for customers in select countries in Europe and the US, with additional markets to follow.

Bioniq has been expanding across the Gulf since entering the UAE market in 2021.
Herbalife, which was established in 1980, describes itself as “the number one active and lifestyle nutrition brand in the world.” In February this year, soccer superstar Cristiano Ronaldo, an investor in Bioniq, had acquired a 10 percent equity interest in HBL Pro2col Software, LLC, an indirect wholly-owned subsidiary of Herbalife that holds the Pro2col technology. Pro2col is Herbalife's next-generation, digital, personalized health and wellness operating system designed to drive daily engagement, sustainable behavior change, and measurable outcomes through a structured, data-driven approach to wellness.

The transaction, which is expected to close in the second quarter of 2026, will also see Herbalife obtain a call option to acquire Bioniq LAB, a separate platform focused on small molecules and peptides. The call option provides Herbalife with strategic flexibility to evaluate potential longer-term opportunities in this area in a disciplined and capital-efficient manner.
